MUMBAI: Hindustan Coca-Cola Holdings, the parent of The Coca-Cola Company's largest Indian bottler, is expected to file draft IPO papers with SEBI by October 29 for an issue of about 1 billion dollars at a valuation of around 10 billion dollars, according to reports citing Fortune India and Moneycontrol.[7][6] The listing is planned for 2027 on the NSE and BSE. Coca-Cola has said it is also exploring the sale of a portion of its shareholding in connection with the listing.[4][12] Nothing is confirmed until the draft red herring prospectus appears on SEBI's website.[7]

Coca-Cola retained Rothschild & Co to advise on the listing. The bankers named in reports are Kotak Mahindra Capital, Citigroup, JPMorgan Chase, Morgan Stanley, Axis Capital and IIFL Capital Services.[4][10] An NDTV Profit report on October 1 had said draft papers could be filed in December, so the timetable has moved forward.[14][15]
Ownership and the Refranchising Story
| Date | Event |
|---|---|
| December 2024 | Coca-Cola announces the sale of a 40% stake in HCCH to Jubilant Bhartia Group; deal reported at about $1.5 billion[13][17] |
| July 2025 | Jubilant Bhartia Group completes the 40% purchase; Goldman Sachs Asset Management provided $600 million of equity through convertible preference shares[5][13] |
| June 1, 2026 | Coca-Cola announces it is exploring a 2027 listing of HCCH and a sale of part of its holding[4] |
| July 20, 2026 | Bankers reported as appointed to lead the 2027 IPO[16] |
| October 26 to 29, 2026 | Reports say DRHP is due this week[6][7] |
At the reported 10 billion dollar valuation, the Bhartias' 40% stake would be worth about 4 billion dollars against a purchase cost of about 1.5 billion dollars, on Depth Grid's calculation.[10][13] CEOWORLD put the target at nearly three times the valuation implied by the 2024 investment. Depth Grid's arithmetic gives about 2.7 times, since 1.5 billion dollars for 40% implies about 3.75 billion dollars for the whole.[11] Coca-Cola said it will stay invested in the bottler and focus on growing its brands. It described the listing as part of its refranchising strategy.[4][6]
The Business: Scale, Brands and a Falling Revenue Line
| Metric | Reported Detail |
|---|---|
| Operating company | Hindustan Coca-Cola Beverages, set up in 1997 |
| Brands | Coca-Cola, Thums Up, Sprite, Fanta, Limca, Maaza, Minute Maid |
| Plants and partners | 14 bottling plants in 10 states; eight co-packers |
| Distribution | More than 2,000 distributors; over 1.7 million customers |
| FY25 revenue | Rs 12,751.29 crore, about $1.5 billion, down 9% year on year |
| Implied FY24 revenue | About Rs 14,000 crore (Depth Grid calculation) |
Source: Fortune India as reported by IPO Guru, India Weekly and Trak.in.[7][8][9] The FY24 figure is a Depth Grid calculation from the reported 9% decline.
The revenue fall needs context. HCCB transferred operations in North Gujarat, Rajasthan, Bihar and parts of eastern and north-eastern India to independent bottlers in 2024 and 2025, which reduced the revenue consolidated directly in HCCB, so the decline does not mean an equal fall in demand.[11][9] The draft prospectus is expected to show how the new perimeter changes revenue, margins and debt, which are the numbers that will decide the valuation debate.
Valuation and Size in Context
| Measure | Figure | Basis |
|---|---|---|
| Target valuation | About $10 billion, roughly Rs 95,000 crore | Depth Grid conversion at about Rs 95 a dollar |
| Issue size | About $1 billion, roughly Rs 9,500 crore | Reported |
| Valuation against FY25 revenue | About 6.7 times | $10 billion over $1.5 billion; indicative only |
| Against Jio Platforms IPO | About 31% of Rs 30,213 crore | Depth Grid calculation |
| Against Zetwerk IPO | About 1.9 times Rs 5,012.3 crore | Depth Grid calculation |
Sources: Trak.in, Inshorts and HDFC Sky reports; calculations by Depth Grid.[8][14][18] The revenue multiple mixes a forward target valuation with a past revenue base and is only a rough guide.
Varun Beverages, the bottler for PepsiCo, is the natural listed comparison. One preview calls Hindustan Coca-Cola the Coca-Cola-side equivalent.[16] Depth Grid has not added peer multiples because they move daily. The drinks giant also faces competition in India from Reliance's Campa Cola, according to Reuters.[12]
What the DRHP Should Reveal
Five items will matter most once the draft papers are public: the split of shares between Coca-Cola and Jubilant Bhartia in the offer, whether any fresh issue is planned, the post-refranchising revenue and margin picture, debt at HCCH and its subsidiaries and volume and brand mix across carbonated drinks, juices and water. The prospectus will also show how much of the business sits under HCCB and how the new bottlers are paid.
Strategic Implications for India's IPO Pipeline
A 1 billion dollar consumer IPO would add a large global brand to a pipeline that includes Jio Platforms and Zetwerk. Trak.in noted that several multinationals have recently explored listings of their Indian businesses.[8] It would also give Coca-Cola a market price for its remaining 60% and give Jubilant Bhartia, which financed its stake with borrowing and Goldman Sachs equity, a liquid investment.[11][13]

Coca-Cola announced on June 1, 2026 that it is exploring a public listing of Hindustan Coca-Cola Holdings, the parent of its largest Indian bottler, on the BSE and NSE in 2027. Reports say the company is expected to file draft papers with SEBI by October 29. Nothing is confirmed until the draft red herring prospectus appears on SEBI's website.
Who owns Hindustan Coca-Cola Holdings?
The Coca-Cola Company owns 60% and Jubilant Bhartia Group, controlled by Shyam and Hari Bhartia, owns 40%. Jubilant completed its purchase of the 40% stake in July 2025 in a deal reported at about 1.5 billion dollars or Rs 12,000 crore to Rs 12,500 crore. Coca-Cola has said it will remain an investor after the listing.
How big is the Coca-Cola India IPO and what is the valuation?
Reports say the issue would raise about 1 billion dollars, roughly Rs 9,500 crore, at a valuation of around 10 billion dollars. The sources describe it mainly as a stake sale. The split between Coca-Cola and Jubilant has not been disclosed. The 10 billion dollar figure is an indicative target and not a final valuation.
When will Hindustan Coca-Cola list on the stock exchanges?
Coca-Cola has said it is looking at 2027, subject to market conditions and approvals. Fortune India and Moneycontrol reported that draft papers are likely to be filed with SEBI by October 29, 2026, although an earlier report had pointed to December. SEBI review usually takes months.
