Direct Answer: Urban Company's Q2 FY27 net loss widened to Rs 182.48 crore from Rs 59.33 crore because of a Rs 174 crore investment in InstaHelp. Revenue rose 41% to Rs 537.29 crore and the core business earned Rs 30 crore of adjusted EBITDA. The board approved raising up to Rs 2,500 crore, subject to shareholder approval.

Q2 FY27 Results: Growth Up, Loss Wider

The first-half loss reached Rs 274.6 crore.[5][8]

Net loss was about 34% of revenue in Q2 FY27 against about 16% a year earlier, on Depth Grid's calculation. The company also booked a Rs 8.1 crore loss from a joint venture and a tax expense of Rs 7.2 crore in the quarter.[5]

InstaHelp: A Rs 174 Crore Bet

InstaHelp, the quick daily-help vertical launched in February 2025, generated revenue of Rs 20.54 crore in the quarter and a segment loss of Rs 173.12 crore, up from Rs 42.91 crore a year ago.[6][10][14] Its loss was about 8.4 times its revenue, on Depth Grid's calculation. The company called the Rs 174 crore spend deliberate and said unit economics improved as the network became denser.

The per-order loss fell to Rs 279 from Rs 346 in the previous quarter as the network densified.[9] The mix shift also shows up in ticket size. Net transaction value per order was about Rs 948 in Q2 FY27 against about Rs 1,385 a year earlier, a fall of roughly 31%, on Depth Grid's calculation from the reported totals. Small quick-service orders are pulling the average down even as order counts double.

The Rs 2,500 Crore Fundraise

The board approved a proposal to raise up to Rs 2,500 crore through a preferential allotment or private placement of equity shares or convertible securities, subject to shareholder approval.[5][8] Management said the purpose is strategic flexibility to invest across businesses, cement leadership in InstaHelp and pursue inorganic opportunities selectively.[9] The company has not named investors or a price in the sources reviewed. Any issue would follow SEBI rules for preferential allotments.

This is not an IPO. Urban Company listed on the NSE and BSE on September 17, 2025 at Rs 161 against an issue price of Rs 103.[12] Depth Grid could not verify its current cash balance in the sources reviewed, so the article does not compare the raise with the company's reserves. The size of the raise relative to market value also depends on the current share price, which Depth Grid has not verified.

Competition and Context in Quick Home Services

Quick home help is becoming crowded. Rival Snabbit posted a Rs 168 crore loss for FY26, according to the October 16 funding roundup from StartupTalky.[13] Urban Company said it is also entering the residential air conditioner segment under its Native brand.[8] Depth Grid has not seen detailed order data for rivals, so market share comparisons are not included.

Strategic Implications for Consumer Internet

The quarter splits the company into two stories. The core marketplace is growing and adding profit, with India consumer services excluding InstaHelp earning 3.5% of net transaction value in adjusted EBITDA. InstaHelp is growing orders quickly but still loses about Rs 279 on each one, so the fundraise is effectively a funding runway for scaling it toward breakeven.

For investors the question is whether per-order losses keep falling as fast as order volume rises. Depth Grid's report on Q3 global venture funding and our analysis of startup funding in India, the USA and Europe give context on how much capital is available to consumer internet companies. Our explainer on sovereign wealth funds in startup investment covers one source of the large cheques that preferential issues like this can attract.

Three items to watch are the shareholder vote on the raise, the identity and pricing of any investors and per-order losses at InstaHelp in the December quarter.

Common Questions and Direct Answers

What were Urban Company's Q2 FY27 results?

Urban Company reported a consolidated net loss of Rs 182.48 crore for the September 2026 quarter, up from Rs 59.33 crore a year earlier. Revenue from operations rose 41% to Rs 537.29 crore and net transaction value grew 39% to Rs 1,432 crore. Orders delivered reached 15.1 million, up 103% year on year.

Why did Urban Company's loss widen in Q2 FY27?

The company said it made a deliberate investment of Rs 174 crore in InstaHelp, its quick home help service. InstaHelp earned revenue of Rs 20.54 crore but posted a segment loss of Rs 173.12 crore, against Rs 42.91 crore a year earlier. Consolidated adjusted EBITDA was a loss of Rs 144 crore.

Is Urban Company's core business profitable?

On an adjusted EBITDA basis, yes. Excluding InstaHelp, adjusted EBITDA was Rs 30 crore, up 213% year on year. India consumer services excluding InstaHelp earned Rs 34 crore, equal to 3.5% of net transaction value. The consolidated figure is negative because InstaHelp spending outweighs the profit from the rest of the business.

How much is Urban Company planning to raise?

The board approved raising up to Rs 2,500 crore through a preferential allotment or private placement of equity shares or convertible securities. The plan needs shareholder approval. Management said the money gives strategic flexibility to invest across businesses, strengthen leadership in InstaHelp and pursue selective acquisitions. Investors and pricing have not been named.

Is the Urban Company fundraise an IPO?

No. Urban Company is already listed, having debuted on the NSE and BSE on September 17, 2025 at Rs 161 against an issue price of Rs 103. The Rs 2,500 crore plan is a follow-on raise through a preferential allotment or private placement, so it is separate from the original public offering.
